1. GENERAL TERMS OF USE

1.1 GENERAL PROVISIONS

The sale and / or use of SbdCLoud’s online software is subject to these general conditions prevailing over all terms of purchase, unless otherwise indicated by SBDCLOUD LLC. Hereinafter referred to the "CUSTOMER" which means the user of the software: you, your business or company you lawfully represent. "SBDCLOUD" means the publisher and administrator of SbdCloud’s software and the SbdCloud.com website, SBDCLOUD LLC. The "SOFTWARE" means the SbdCloud application software for secure online business management.

1.2 USER AGREEMENT

All registrations made via SbdCloud.com website or other sites within the SbdCloud Company, along all other means to access SbdCloud’s software are subject to these terms of use. Each user of SbdCloud software acknowledges the has read, understood and accepted these terms as a contract before using the software for the first time.

1.3 DATA LEGALITY

The software is used as directed by the customer, under his control and responsibility. SbdCloud cannot be held responsible for the data hosted by the customer. It is the customer's responsibility to ensure that its data is consistent with the applicable laws of his country and according to all legal requirements.

1.4 COLLECTED DATA

SbdCloud reserves the right to collect information from customers, in various ways, for statistical purposes, software enhancement, and to ensure the proper functioning of the software. SbdCloud also records IP addresses amongst other data.

1.5 COOKIES

Tracking "cookies" are used in the context of improving the user experience.

1.6 COMMUNICATION AND EXPLORATION

SbdCloud reserves the right to favor diverse communication methods for advertising purposes. These can be, but are not limited to, electronic mail, telephone calls, fax, social networks and blogs. Furthermore, each client expressly agrees to receive from SbdCloud direct surveys of commercial or other nature via the contact information that he has transmitted to SbdCloud. The customer can inform SbdCloud by any written means and at any time to refuse this type of communication.

1.30 WARRANTY

No warranty is offered on free subscriptions.

1.8 API Integration

SbdCloud software provides users an API. This allows using the software from the website of the user, based on certain pre-defined actions such as adding clients and creating invoices. SbdCloud cannot be held responsible for data exchange between the customer’s web site and the SbdCloud software, for any losses, errors or interceptions. It is the customer's responsibility to test and ensure the proper functioning of the features of the API. It is also forbidden to use the API for other purposes than those specified, or to perform programming loops, under penalty of being suspended or banned from the system.

2. TERMS AND CONDITIONS

2.1 TERMS OF PAYMENT / PENALTIES

In case the customer consents to a paid subscription, the customer must comply with the following payment terms. When subscribing to a paid subscription, the customer must pay the full first payment requested before having full access to the functionality of the software associated with his subscription plan. Subsequently, the customer will receive a payment notice some time before the due date thereof. The customer must visit the SbdCloud’s online software interface in "Profile / Billing" to settle the payment of the new invoice generated. His subscription will then be renewed. All payments must be made through the application; no other form of payment will be accepted without prior authorization. In the case of non-payment of a subscription renewal, the additional features related with the paid subscription plan of the customer will be suspended. SbdCloud reserves the right to charge additional fees for any late payment or actions made specifically for the customer.

2.2 WARRANTY AND REFUND

SbdCloud guarantees that the software is consistent with its documentation. This warranty is valid for an indefinite period. If abnormalities are detected during this period, SbdCloud will ensure to correct these abnormalities, provided any abnormalities detected are reproducible and that their existence has been duly reported to SbdCloud. Specifically excluded from the warranty is compensation, requested following an intervention or unauthorized modification, error handling or improper documentation use, or after an abnormality generated from another application used by the client. The above warranty is limited and SbdCloud does not guarantee the correction of all errors or the ability of the application to meet the customer's individual goals nor that the software is error free. In the same way, the parties expressly exclude under this contract, and the customer agrees to the application of legal provisions on warranty for defects, hidden defects or inaccuracies of the results returned by the software. No money back guarantee is offered by SbdCloud on the use and on subscriptions of SbdCloud software. Each customer can take advantage of a free version of the software with reduced functionality for an indeterminate period of time enabling the customer to discover that the software suits his needs and the needs of his business and the company that he represents. It is also the same for the credits applied to the customer account as a bonus or for a subscription balance.

2.3 TERMINATION OF SERVICES

The customer may terminate his membership at any time. To do this, he can simply not renew his services. The customer has also exclusive access to the suppression of his own data. To do this, he must go to the Configuration tab> Advanced> Delete user data. This action is irreversible and is clearly indicated. SbdCloud cannot be held responsible in any way whatsoever for such an action performed by the customer. SbdCloud reserves the right to suspend a user's account does if he does not meet these conditions, without justification or refund.

2.4 AVAILABILITY AND DELIVERY

SbdCloud strives to provide a service available 24 hours a day, 30 days a week, and 365 days a year. However, it is possible that an interruption may occur during maintenance or during a major update. Paid subscriptions are generally automatic, in case a problem occurs with the customer’s subscription; it is the duty of the customer to inform SbdCloud. A delay is expected.

3. HOSTED DATA SECURITY

3.1 GENERAL

The security of hosted data and protecting the privacy of SbdCloud’s users are elements which are taken very seriously by SbdCloud. The software has been designed specifically with this aspect in mind. All data which transfers between the user's browser and the storage server is encrypted using a unique key that only the server recognizes. In case of interception by a malicious user, this data would be totally unreadable. The servers are also heavily secured to prevent brute force attacks, as well as the login form.

3.2 DATA BACKUP

Every day, a complete data backup is performed and is stored on an external server. This is done so that the data can be recovered in case of failure or a major malfunction. SbdCloud is not able to recover any data that a user would have deleted himself for whatever reasons.

3.3 DATA DELETION

In no event SbdCloud can delete user data. Each user has an exclusive right to the deletion of this data. This action is clearly indicated as being irreversible. SbdCloud cannot be held responsible for data deletion by a user. SbdCloud also reverses the right to delete user data after a long period of non-use and following several attempts to contact the client without response, or even if it contravenes these terms of use.

3.4 RESPONSABILITIES

SbdCloud has established positive safeguards to avoid any data loss. Nevertheless, it is the customer’s responsibility to achieve under his own direction regular backups of his own data. SbdCloud will in no way be held responsible for any data loss.

3.5 HOSTED DATA CONFIDENTIALITY

Only the client has access to his data. In no case whatsoever may personal and company data be sold or distributed to third parties.

4. OBLIGATIONS

4.1 SbdCloud's OBLIGATIONS towards the CLIENTS through the application SBDCLOUD

- Providing accessibility of the service 24/7/365, except in case of major failures or updates;
- Maintain a high degree of confidentiality of data entrusted to it;
- Not to disclose customer information except as part of legality; et
- Give a right of access to the modification and deletion of customer data.

4.2 CUSTOMER OBLIGATIONS towards SbdCloud LLC.

- The client certifies that he is an authorized representative of the company that he enrolls;
- The customer is committed to providing real information;
- The customer agrees to keep current the information provided during registration;
- The customer agrees to pay SbdCloud's collection agency fees and lawyers incurred in applying its rights under these conditions; and
- The customer agrees to indemnify SbdCloud if it contravenes one or any of the conditions set out in these terms.

5.4 TERMS OF USE

SbdCloud reserves the right to modify at any time these conditions. It is the customer's responsibility to regularly examine these conditions. Some major changes may be announced via SbdCloud communications methods.
